特に日本国内居住者の方向けですが、お住まいの国・地域により影響する関係法令が異なるため、念のため、大変お手数ですが以下につきまして、ご一読をお願いいたします。

なお、本件の対象となるラッフルは下記『Rafffle』にて開催中のものです。

■私の理解と前提事情について

Twitterにて、「本件ラッフルが賭博罪に該当する可能性があるのではないか？」とのご指摘をいただきました。

１．至った理解について

元々の主たる動機として、適正価格の算出が極めて難しい特殊性の強いNFTに関し、価格形成プロセスの確立を行いたいという思いがあり、日本国外居住者の先達によるラッフル販売成功を参考に、同様の手法を用いたラッフル販売を企画・開始いたしました。

同様の例が賭博罪で検挙に至った事例について、私の検索の範囲内では確認できず、また、Web3関係については現在進行形で立法を視野に入れた整備の議論が進んでいる様相ですが、少なくとも「絶対に一切の問題はない」と断言することはできない、という理解に至っております。

前述の動機に基づき実施した本企画ですが、居住国における準拠法の違いなど、リスク管理面での甘さは否定できず、こうしてご迷惑・ご心配をおかけする結果となったことを、まずはお詫びいたします。

２．重要な前提事情について

前提事情の説明となりますが、本件ラッフルにおける利用システム（前述）の都合上、開催者といえども中止権限を与えられておりません。これは、プラットフォーム側による参加者利益保護の観点からかけられたと考えられる制限によります。

また、払い戻し等の機能も一切提供されていないため、システム的な中止については、私の意思とは無関係に実行不可能です。

■具体的な対応方法について

つきましては、以上を鑑み、NFTのランダム型販売に関する有識者（複数の弁護士を含む）の見解を参考に、本企画の大幅な修正を行うことを決定いたしましたので、以下のとおりお知らせいたします。

１．修正前の内容

従来予定されていた賞品は、以下のとおりです。

• STEPN Sneaker #762655630

最大で3,800チケット中、最終的に当選となったチケットをお持ちの1名様に進呈される予定でした。

２．修正後の内容

修正後の内容は以下のとおりであり、既に販売済みの分を含め、すべてのチケットに対して有効です。

• A＝STEPN Sneaker #762655630（1 NFT）

• B＝1チケットにつき1 NFT（ただしAのチケット分は除く）

すなわち、Aのチケット分を除いた「1チケット0.5 SOLにつき必ずBのNFTを1つ」が引き換え販売される、という形式になります。

３．補足事項等のご説明

以下に、本項における補足事項および説明・明示すべき事項について、ご説明いたします。

• 本企画において販売するNFTの販売価格は、1チケット＝1 NFTであることから、1 NFT＝0.5 SOLとなります

• BのNFTの予定発行総数は、最終的なチケットの販売総数に準拠・変動します（最大で3,799 NFT）

• BのNFTの詳細については、十分な検討を重ねた上で後日詳細を決定し、別途お知らせいたします（本件ラッフル終了時点では権利の確定のみ行われ、発送時期は、過度に長期とならない範囲で未定となります）

• 本企画において販売したNFTに関しては、いずれも別途の追加販売、主催者による買い取りの一切を行えません

なお、前項Aにつきましては、本件ラッフル予定期間終了時、システムにより処理が実行されます。これに関して、主催者には一切の変更権限が付与されておらず、機械的な実行を妨げることができない旨、申し添えます。

■結びに

ご参加の皆様、および応援いただいております皆様におかれましては、ご迷惑・ご心配をおかけしまして、大変申し訳ありません。

先に述べましたとおり、システム上の理由で中止することが不可能な実状のため、企画としては走り切らせていただき、「参加した価値があった」と思っていただけるよう、努めて参ります。

また、前述の「BのNFT」に関しましては、雑な取扱いになってしまうことは避けたいため、ややしばらくお時間をいただきたく思います。

基本的には、日頃から私 @parabell_life の発信をご覧いただいている方に価値を感じていただける読み物や、コミュニケーションをベースとしたものを検討する考えでおりますが、NFTコレクションそのものになる可能性も含め、現時点ではいずれも暫定的な案であることにつきまして、ご理解賜りたくお願いしたいしだいです。

なお、本件に関するご質問等は、主にTwitter DMにて受け付けさせていただきます（通知の多寡によりますが、最大で48時間程度のお時間をいただく場合がございます）。

My Understanding and Assumptions

I have received comments on Twitter that "this raffle may fall under the crime of gambling.

1. My understanding of the situation

The main motivation was to establish a price formation process for NFTs, which are highly specialized and extremely difficult to calculate a fair price for, and I planned and launched a raffle sale using the same method, referring to the successful raffle sales by our predecessors who reside outside of Japan.

Although I have not been able to confirm any cases of similar cases leading to arrests for gambling within the scope of my search, and although there seems to be ongoing discussions on the development of Web3 related legislation, I have come to the understanding that at the very least, it is impossible to assert that there are absolutely no problems at all.

Although this project was conducted based on the aforementioned motivation, I cannot deny that I have been lax in risk management, including differences in applicable laws in the country of residence, and I apologize for any inconvenience or concern this may have caused.

2. Important Assumptions

As an explanation of the preconditions, even the organizer of the raffle is not authorized to cancel the raffle due to the system used for the raffle (as mentioned above). This is due to the restrictions that are believed to have been placed by the platform in order to protect the interests of the participants.

Also, since no refund or other functions are provided, systemic cancellation is not feasible regardless of my intention.

Specific measures to be taken

Therefore, in light of the above, and in reference to the opinions of experts (including several attorneys) regarding NFT's random-type sales, I have decided to make substantial revisions to this plan, and hereby notify you as follows.

1. Details before revision

The previously planned prizes are as follows.

• STEPN Sneaker #762655630

The prize was to be awarded to one person with the final winning 1 ticket out of a maximum of 3,800 tickets.

2. revised details

The revised details are as follows and are valid for all tickets, including those already sold.

• A = STEPN Sneaker #762655630 (1 NFT)

• B = 1 NFT per ticket (except for the portion of ticket A)

In other words, you will always receive "one NFT of B per 0.5 SOL = 1 ticket". However, this excludes the portion of A winning ticket.

3. Explanation of Supplementary Information, etc.

The following is an explanation of supplementary matters and matters that should be explained or clarified in this section.

• The selling price of NFTs sold under this plan is 1 NFT = 0.5 SOL, since 1 ticket = 1 NFT.

• The total number of B NFTs to be issued will depend on the final number of tickets sold (up to 3,799 NFTs).

• Details of the B NFTs will be determined at a later date after due consideration and will be announced separately (At the time of completion of the raffle, only the rights will be confirmed and the shipping date will be undecided to the extent that it does not take too long.).

• No additional NFTs will be sold or purchased by the organizer for any of the NFTs sold under this project.

As for the preceding item A, the system will execute the process at the end of the scheduled raffle period. Please note that the organizer is not authorized to make any changes to this and cannot interfere with the mechanical execution of the raffle.

Conclusion

I apologize for any inconvenience or concern this may cause to the participants and their supporters.

As mentioned earlier, due to the fact that it is impossible to cancel the event for systemic reasons, I will try our best to run through the project and make sure that you feel that it was worth your participation.

As for the aforementioned "B's NFT," I would like to take a little time to avoid a messy handling.

Basically, I am considering reading material and communication based material that will be of value to those who regularly read my @parabell_life messages, but at this point, these are all tentative ideas, including the possibility of becoming an NFT collection itself. I would appreciate your understanding in this matter.
